Terms and Conditions

These Terms & Conditions ("Terms") govern the use of the SchoolEdge CBT Software ("the Software"), owned and operated by Brainiac Global Resources Limited ("the Company", "We", "Us"). By subscribing, installing, accessing, or using the Software, you ("the Client", "You", "Institution") agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Software.


1. DEFINITIONS

  • Software – The SchoolEdge CBT platform, including web portals, exam engine, admin panel, and any other distributed tools.
  • Subscription Plans – Regular, Standard, Premium, and Platinum yearly plans.
  • Custom Plan – A one-time lifetime license with special terms.
  • Candidate – A student/test taker registered to take exams.
  • Support – Technical assistance provided by the Company.
  • Updates – Improvements, bug fixes, and new features released.

2. LICENSE GRANT

2.1 Subscription Plans (Regular, Standard, Premium, Platinum)

For all subscription-based plans, the Company grants the Client a non-exclusive, non-transferable, and revocable annual license to use the Software within the candidate limit specified in the purchased tier.

The license remains valid only as long as the annual fee is active and fully paid.

2.2 Custom Plan (Lifetime License)

For Custom Plan Clients, the Company grants a perpetual, non-exclusive, non-transferable, single-institution license to install and use the Software for unlimited candidates.

THIS IS NOT A TRANSFER OF OWNERSHIP OR INTELLECTUAL PROPERTY RIGHTS.

The Client receives usage rights, not source code ownership, unless explicitly negotiated in writing.


3. PRICING & PLAN LIMITS

3.1 Subscription Plans

Each plan includes specific candidate limits:

  • Regular: 1–100 candidates
  • Standard: 1–200 candidates
  • Premium: 1–500 candidates
  • Platinum: 1–1,000 candidates

Enforcement:

If a client exceeds the candidate capacity of their plan, the system may:

  • Block new registrations
  • Trigger an automatic upgrade prompt
  • Or require immediate manual upgrade

3.2 Custom Plan

  • Unlimited candidates
  • One-time payment
  • Lifetime license
  • Includes 1-year priority support + 1-year free updates
  • Custom branding and white-labelling included
  • Deployment on Client's server or on-premise infrastructure

Additional features (API integration, custom modules, source code access) may require separate agreements.


4. PAYMENT TERMS

  • Subscription fees are billed annually and non-refundable once paid. For trial, use the free plan.
  • Lifetime license fees for the Custom Plan are one-time and non-refundable.
  • Access will be suspended if payment is not completed by the due date.

5. SOFTWARE UPDATES

Subscription Plans

All active subscribers receive:

  • Continuous updates
  • Security patches
  • New features as released

Custom Plan Clients

  • Free updates for the first 12 months
  • After the first year, updates require a yearly maintenance fee determined by the Company.

The Client may continue using the last available version indefinitely if they choose not to pay for yearly updates.


6. SUPPORT TERMS

Subscription Plans

  • Email & WhatsApp support during active subscription.
  • Response time: 24–72 hours.

Custom Plan

  • 1-year priority support included
  • Priority support includes:
    • Faster response times (within 12–24 hours)
    • Direct engineering support for deployment issues

After 1-Year

Support becomes paid under a support contract.

Support contract may include:

  • Server maintenance
  • Software troubleshooting
  • Bug fixes
  • Training of staff
  • System optimization

The Company may decline support if no support plan is active.


7. INTELLECTUAL PROPERTY & COPYRIGHT

7.1 Ownership

All rights, title, and interest in:

  • The Software
  • Source code
  • UI/UX design
  • Branding, trademarks, and logos
  • Exam engine algorithms

… belong solely to the Company. The Client receives usage rights, not ownership.

7.2 Restrictions

The Client must NOT:

  • Copy, clone, resell, or redistribute the Software
  • Share login access outside their institution
  • Host the Software for third parties
  • Reverse-engineer, decompile, or attempt to access the source code
  • Sell the platform as their own product

Violation of these terms may lead to:

  • Immediate license termination
  • Legal action for damages
  • Claims under copyright and IP laws

7.3 Custom Plan Copyright

Even for Custom Lifetime Clients:

  • The Software remains the intellectual property of the Company
  • The Client may NOT resell, duplicate, or distribute the software
  • White-labelling is for branding purposes only, not ownership
  • Custom code written for the client may be reused by the Company unless stated otherwise in a separate paid exclusivity contract

8. DATA & PRIVACY

The Company adheres to standard data protection practices.

The Client is responsible for:

  • Securing their login credentials
  • Ensuring student data privacy
  • Complying with local ICT/education regulations

The Company is not liable for breaches caused by the Client's server or staff.


9. SYSTEM DEPLOYMENT (Custom Plan)

For Custom Plan on-premise installations:

  • The Client is responsible for server hosting costs
  • The Company will assist during initial deployment
  • Any migration or reinstallation after the first deployment is billable

If the Client's infrastructure fails (e.g., hardware crash, server corruption), the Company is not liable for data loss.


10. LIMITATION OF LIABILITY

The Software is provided "as is" and "as available".

The Company is not liable for:

  • Exam malfunctions caused by Client network issues
  • Loss of data due to Client negligence
  • Downtime caused by server hosting or third-party services
  • Unauthorized access due to weak passwords set by the Client

Maximum liability is limited to the amount paid in the last 12 months.


11. TERMINATION

Subscription Plans:

Access to the software terminates immediately upon:

  • Non-payment
  • Violation of terms
  • Misuse of license

Custom Plan:

The lifetime license may be terminated if:

  • The Client attempts copyright infringement
  • The Client redistributes the software
  • The Client shares its login details with another institution
  • The Client attempts to reverse-engineer or resell the platform

Termination does not entitle the Client to refunds.


12. GOVERNING LAW

These Terms shall be governed by the laws of the Federal Republic of Nigeria.


13. AMENDMENTS

The Company may update these Terms from time to time. Continued use of the Software constitutes acceptance of the updated Terms.
